BOI Reporting Back in Effect

Beneficial Ownership Information

Due to a recent decision made by the U.S. District Court for the Eastern District of Texas, beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act (CTA) are once again back in effect

The Financial Crimes Enforcement Network (FinCEN) also intends to initiate a process this year to revise the BOI reporting rule to reduce burden for lower-risk entities, including many U.S. small businesses.

Deadline Extension: FinCEN has extended the BOI reporting deadline to 30 calendar days from February 19, 2025, for most businesses. 

  • For the vast majority of reporting companies, the new deadline to file an initial, updated, and/or corrected BOI report is now March 21, 2025.
  • Companies that were previously given a reporting deadline later than March 21, 2025, must file their initial BOI report by that later deadline. For example, if a company’s reporting deadline is in April 2025 because it qualifies for certain disaster relief extensions, it should follow the April deadline.

Basic Requirements:
Under the Corporate Transparency Act, your company must report: 

  1. Company Information: Legal name, address, jurisdiction of formation, and tax identification number
  2. Beneficial Owner Information: For each beneficial owner (individuals who own 25% or more of the company or exercise substantial control):  
    • Full legal name
    • Date of birth
    • Current residential address
    • Unique identification number (such as passport or driver’s license)
  3. Company Applicant Information: For companies formed after January 1, 2024, details about individuals who filed formation documents

Be Aware of Scams: FinCEN issued a public alert on December 18, 2024, to raise awareness of fraud schemes abusing FinCEN’s name, insignia, and authorities for financial gain—including scams that exploit beneficial ownership reporting. Learn more about these schemes and where to report them here.

Red Flags of Fraudulent Correspondence include: 

  • References to “Form 4022” or “Form 5102.” FinCEN doesn’t have forms by these names.
  • Documents referencing a “US Business Regulations Dept.” There is no government entity by this name.
  • Payment requests. There is NO fee to file BOI directly with FinCEN.

  1. Identify all beneficial owners of your company
  2. Gather required identification documents
  3. Access the FinCEN website to file the report: https://fincen.gov/boi. Reporting companies can report their BOI directly to FinCEN, free of charge, using FinCEN’s E-Filing system available at https://boiefiling.fincen.gov

We recommend starting this process early to ensure compliance with the new deadline. Penalties for non-compliance can include civil penalties of up to $500 per day and potential criminal penalties.

Tariff Tension: How Global Levies May Impact Portfolios

The recently imposed tariffs could have inflationary effects, but it's not guaranteed they will lead to broad, lasting price hikes. Any price increases from tariffs would likely be temporary, acting more like a one-time tax.
